Promotion and implementation of corporate governance

The Company has designated the CEO Office as the concurrent corporate governance unit. On April 26, 2023, the Board appointed the Corporate Governance officer in charge of corporate governance affairs and reports directly to the Board of Directors.

The scope of duties of the Company's Corporate Governance Officer

  1. Regular (at least annually) reports to the BOD on corporate governance progress and improvement plans
  2. The organization of BOD and shareholders' meetings in accordance with the law
  3. Preparation of the minutes from BOD and shareholders' meetings
  4. Assisting in onboarding and continuous development of directors
  5. Furnishing information required for business execution by directors
  6. Report to the Board on the results of its review of whether the qualifications of independent directors at the time of nomination, election and term of office comply with relevant laws and regulations
  7. Assisting directors with legal compliance
  8. Handling matters related to the change of directors
  9. Other matters set out in the articles of incorporation or contracts

Corporate Governance officer Training in 2025

The Corporate Governance officer shall complete a minimum of 18 hours of continuing education courses within 1 year from the date of the person's appointment to that position, and a minimum of 12 hours of continuing education courses in each following year.
